NDA & UK Contract
Last updated: 2026-09-01
PalQum Ltd (Company No. 10717269) is registered in England & Wales. Engineering is delivered from our studio in Bethlehem, Palestine, while every commercial engagement is contracted and governed under UK law.
1. Mutual Non-Disclosure Agreement
Before any project details are shared, PalQum can execute a mutual NDA covering confidential information exchanged during scoping and delivery, including business plans, source code, credentials, and product designs.
Standard exclusions apply to information that is already public, independently developed, or required to be disclosed by law. The default confidentiality term is 3 years from the date of disclosure, and it applies equally to both parties.
2. Governing Contract
All commercial engagements are executed under a Master Services Agreement (MSA) governed by the laws of England and Wales, with courts of England and Wales having exclusive jurisdiction over any dispute.
Each project is scoped through a Statement of Work (SOW) that defines deliverables, timeline, pricing, and acceptance criteria, issued during the Discover phase before any development begins.
3. Intellectual Property & Code Ownership
100% of the intellectual property in delivered work, including source code, designs, and documentation, transfers to the client upon final payment, with full repository and infrastructure handover included at project completion.
PalQum retains no ongoing claim to client-specific code. Generic internal tooling, templates, and engineering methodologies developed independently of a client engagement remain PalQum property.
4. Requesting the Full Documents
The full NDA and MSA templates are issued directly during the scoping call. Reach out via [email protected] or the "Start a Project" form to request a copy ahead of an engagement.
